  • Core Essentials Package: Logo design, color` color palette, font guide, social media templates, and brand style guide.
  • Depth System Package: Includes Core Essentials plus custom illustrations, additional social media templates, business card design, email signature, and extended style guide.
  • All-In System Package: Includes Depth System plus web design (up to 5 pages), marketing materials, custom icons, presentation templates, and comprehensive brand guide.
  • Add-on Services: Web design, social media templates, print materials, rebranding, and monthly retainer services.

All Services are delivered in accordance with our Strategic Delivery System, as outlined in our Workflow documentation, which includes discovery, iterative development, and implementation deployment phases. Specific deliverables, timelines, and payment schedules are detailed in project-specific contracts provided after a free Discovery Call.

3. Client Responsibilities

To ensure successful delivery of Services, you agree to:

  • Provide complete and accurate information during the Strategic Discovery Questionnaire and consultation process.
  • Submit required assets (e.g., existing logos, brand materials) in the requested formats and timelines.
  • Participate in feedback rounds (typically 2 rounds, as outlined in project contracts) within agreed timeframes.
  • Make timely payments as per the milestone-based payment schedule in the project contract.

Failure to meet these responsibilities may result in project delays or additional fees, as outlined in the Scope Management Protocols.

4. Payment Terms

Payments for Services are milestone-based, with an initial investment (typically 40% of the project total) due upon contract execution. Subsequent payments are tied to milestone completions, as specified in the project contract. All payments must be made within 7 business days of invoice issuance. Late payments may incur a 1.5% monthly interest charge.

Prices for Services are listed on our Website (e.g., Core Essentials: $1,200-$1,500; Depth System: $2,500-$3,000; All-In System: $4,500-$5,500). Exact pricing is confirmed in the project contract. All fees are non-refundable except as expressly stated in the project contract or as required by law.

5. Intellectual Property

Client Content: You grant Goodspell a non-exclusive, worldwide, royalty-free license to use, modify, and reproduce any content you provide (e.g., logosSy logos, images, text) solely for the purpose of providing the Services. You represent that you have the necessary rights to grant this license.

Goodspell Content: All deliverables (e.g., logos, color palettes, designs, templates) created by Goodspell remain our intellectual property until full payment is received. Upon final payment, ownership of the deliverables transfers to you, subject to the terms of the project contract. You may not resell, sublicense, or distribute the deliverables without our prior written consent.

Portfolio Use: You grant Goodspell the right to showcase the deliverables in our portfolio, marketing materials, and case studies, with attribution to your business, unless otherwise agreed in writing.

6. Dynamic Color Palette Tool

The Dynamic Color Palette tool is provided “as is” for generating UI/UX color palettes. You may use the basic version without registration or the premium version by providing your email address. Custom analysis requires booking a Discovery Call. Goodspell retains all intellectual property rights in the tool and its outputs. You may not reverse-engineer, modify, or distribute the tool or its outputs without our prior written consent.

7. Confidentiality

Goodspell will treat all non-public information you provide as confidential and use it solely to perform the Services. Similarly, you agree to keep confidential any proprietary information we share, including our methodologies (e.g., Color Impact Assessment) and pricing structures, except as required by law.

8. Limitation of Liability

To the fullest extent permitted by law, Goodspell’s liability for any claim arising from the Website or Services is limited to the amount paid for the Services giving rise to the claim. In no event will Goodspell be liable for indirect, incidental, consequential, or punitive damages, including lost profits, even if advised of their possibility.

The Services are provided “as is” without warranties of any kind, express or implied, except as stated in the project contract. We do not guarantee that the Services will meet your specific requirements or achieve particular business outcomes (e.g., increased conversion rates).

9. Termination

Either party may terminate a project contract for material breach, provided written notice is given and the breach remains uncured for 10 business days. Upon termination, you must pay for all Services rendered up to the termination date. Goodspell may suspend or terminate access to the Website or Services for violation of these Terms or non-payment, without liability.

10. Governing Law and Dispute Resolution
